2. Scope

2.1 These general terms and conditions (the “Terms”) govern the relationship between the seller and the buyer in the supply of exterior shading, louvres, rotating louvres, pergolas and related made-to-measure products, including measuring and installation (the “order”).

2.2 The Terms apply to both consumers and businesses. Provisions marked “for consumers” do not apply to businesses. Relationships with businesses are also governed by Article 12.

2.3 Goods purchased in the flowgardenshop.sk online shop are governed by the terms published there, not by these Terms.

2.4 The Complaints policy forms part of these Terms. The processing of personal data is governed by the Privacy policy.

3. How the contract is formed

3.1 The buyer sends an enquiry (via the website form, by e-mail or by phone). Based on it, the seller prepares a price quote. If necessary, the quote is preceded by on-site measuring.

3.2 The price quote includes a description of the products and their dimensions, the price, the amount of the deposit, the expected production and installation date and the validity period of the quote.

3.3 The contract is formed when the buyer accepts the price quote in writing (an e-mail is sufficient) and the seller confirms it, or when a contract for work is signed.

3.4 If the contract is concluded off the seller's business premises (for example during measuring at the buyer's site) or at a distance, the seller provides the consumer, before the contract is concluded, with the information required by Act No. 108/2024 Coll. on Consumer Protection.

4. Price and payment

4.1 The price is stated in the price quote including VAT. The seller is a VAT payer.

4.2 Before production begins, the buyer pays the deposit stated in the price quote. Production begins once the deposit is credited to the seller's account. The balance of the price is due within the period stated on the invoice.

4.3 If the buyer does not pay the deposit by the due date or within an additional period of 7 days, the seller may withdraw from the contract.

4.4 Payment details are stated on the advance invoice and the invoice.

5. Measuring and the buyer's cooperation

5.1 Production dimensions are determined by measuring carried out by the seller. If the buyer supplies the dimensions, the buyer is responsible for their accuracy and the seller is not liable for defects caused by incorrect dimensions.

5.2 The buyer ensures that the installation site is accessible and ready on the agreed date (finished substrates, anchoring surfaces, access to electricity where needed).

5.3 Unless agreed otherwise in the price quote, the buyer is responsible for ensuring that the supporting structure to which the product is anchored is suitable for it. Any permits required by building regulations are obtained by the buyer.

6. Production, dates and installation

6.1 The expected production and installation date is stated in the price quote. The exact installation date is agreed with the buyer.

6.2 Installation may be postponed due to adverse weather (rain, strong wind, frost) or force majeure. The seller informs the buyer without delay and proposes a new date.

7. Handover and ownership

7.1 A handover report is drawn up when an installed product is handed over. For delivery without installation, the goods are handed over upon receipt from the seller or the carrier.

7.2 Ownership passes to the buyer upon full payment of the price. The risk of damage passes to the buyer upon handover.

8. Withdrawal from the contract (for consumers)

8.1 A consumer may withdraw from a contract concluded at a distance or off business premises without giving a reason within 14 days.

8.2 A consumer cannot withdraw from a contract for goods made to the consumer's specific requirements and dimensions — that is, louvres and pergolas produced to measurement. The seller informs the consumer of this before the price quote is accepted.

8.3 If installation is to begin before the withdrawal period expires, the seller asks for the consumer's express consent and informs the consumer of the consequences.

8.4 The consumer notifies withdrawal by e-mail to info@flowgarden.sk or in writing to the operations address. The consumer may use the Contract withdrawal form. The seller confirms receipt of the withdrawal by e-mail without delay.

8.5 Upon valid withdrawal, the seller refunds payments within 14 days, using the same means of payment as was used, unless agreed otherwise with the consumer.

9. Liability for defects and complaints

9.1 The seller is liable for defects in products and installation under the Civil Code and Act No. 108/2024 Coll. The warranty period is 24 months from handover.

9.2 The complaints process is set out in the Complaints policy.

10. Dispute resolution (for consumers)

10.1 The seller handles complaints and suggestions at info@flowgarden.sk.

10.2 If the consumer is not satisfied with how a complaint was handled or believes that the seller has violated the consumer's rights, the consumer may ask the seller for redress. If the seller rejects the request or does not reply within 30 days, the consumer may submit a proposal for alternative dispute resolution to an alternative dispute resolution body, for example the Slovak Trade Inspection. The list of such bodies is kept by the Ministry of Economy of the Slovak Republic.

11. Personal data

The seller processes personal data in accordance with the Privacy policy published on this website.

12. Businesses

Articles 8 and 10 do not apply to relationships with businesses. Relationships with businesses are governed by the Commercial Code and by what is agreed in the price quote or contract.

13. Final provisions

13.1 Matters not covered by these Terms are governed by the law of the Slovak Republic, in particular the Civil Code (Act No. 40/1964 Coll.), Act No. 108/2024 Coll. on Consumer Protection and, for businesses, the Commercial Code (Act No. 513/1991 Coll.).

13.2 For consumers residing in another country (for example the Czech Republic), this does not affect the protection afforded by the law of their country of residence.

13.3 The contract is governed by the version of the Terms in force on the day it was concluded.

13.4 These Terms are effective from 15. 10. 2026.
